Terms of Sale
1. Who these terms apply to
These terms govern every sale by Etoile Diamonds EOOD (“we”) through this portal. We sell only to businesses in the jewellery and diamond trade. By applying for an account you confirm you act for a business, not as a consumer, so consumer protection rules such as the right of withdrawal do not apply.
2. Accounts
We approve accounts at our discretion and may suspend them, for example after unpaid orders. You are responsible for keeping your login details safe and for all purchases made with your account.
3. Prices
- Prices are in euros and exclude VAT. VAT is added as required by law and shown before you pay.
- Prices of in-stock stones fall on a published schedule. The price that applies is the one shown when you buy or when your auto-buy price is reached.
- Prices for stones sourced from suppliers are quotes until we confirm the stone is available.
- Tier discounts apply as shown on your account and may change for future orders.
4. Contract
Clicking “Buy now”, or an auto-buy price being reached, is a binding order for an in-stock stone. For a stone sourced on request, the contract is formed when we confirm availability and open the order for payment. If the same stone is bought by two buyers at once, the first order recorded by our system wins.
5. Payment
Pay by card or bank transfer by the deadline shown on the order. If payment has not arrived by then, the order lapses and we may sell the stone to someone else. A payment that arrives after an order has lapsed and the stone has been sold is refunded in full.
6. Delivery and risk
We ship by insured courier to the delivery address on your account, with import duties cleared for deliveries within the EU. Delivery dates are estimates. Risk passes to you when the stone is delivered.
7. Ownership
Stones remain our property until we have received payment in full.
8. Inspection and claims
Check each stone against its grading report within two working days of delivery and tell us in writing about any discrepancy. A stone returned under a claim must be in the condition it was delivered in, with its report.
9. Grading reports and disclosure
Grades are those stated in the report of the independent laboratory named on the stone page. Lab-grown and natural diamonds are always identified as such, and you must disclose the nature of the stone when you resell it.
10. Compliance
We may ask for information needed for anti-money-laundering, sanctions and import rules, and may refuse or cancel an order where these rules require it. You confirm that stones will not be resold in breach of sanctions.
11. Liability
Our liability for any order is limited to the price paid for it, except where the law does not allow a limit, such as for intent or gross negligence. We are not liable for indirect loss or lost profit.
12. Law and courts
These terms are governed by the law of [country], excluding the UN Convention on Contracts for the International Sale of Goods. The courts of [city] have jurisdiction.
